These Terms & Conditions ("Terms") govern your use of the NudgePay platform ("Platform"), owned and operated by NudgePay Technologies LLP ("NudgePay," "we," "our," or "us"). By registering as a user ("Service Provider," "you," or "your"), you agree to be bound by these Terms. Please read them carefully.
1. Service Description
NudgePay is an invoicing and payment-reminder platform designed specifically for freelancers in India. We help you create professional invoices, send them via WhatsApp (and optionally SMS or email), and automatically follow up with polite payment reminders until you get paid.
2. Acceptance of Terms
By signing up and using NudgePay, you confirm that you:
Are an independent service provider or freelancer legally allowed to receive payments from clients.
Authorize NudgePay to facilitate client reminders, micro-invoices, and communication over WhatsApp Business (and other channels) on your behalf.
3. Consent to Messaging & WhatsApp Compliance
By registering your WhatsApp number with NudgePay:
You consent to NudgePay sending transactional and service-related messages (e.g. payment reminders, invoice links, UPI IDs) via our official WhatsApp Business account.
No promotional content is sent without your explicit instruction.
You are responsible for obtaining your clients' consent to receive such messages.
You agree to comply with WhatsApp's Terms of Service and Business Policy; we are not liable for any restrictions or limitations imposed by WhatsApp.
4. Your Responsibilities
As a Service Provider, you agree to:
Use the Platform lawfully and only for collecting payments for genuine services rendered.
Provide accurate invoice details, client contact numbers, and payment amounts.
Securely manage your UPI or bank credentials (do not share your UPI PIN on the Platform).
Comply with applicable tax and invoicing norms in your jurisdiction.
5. Client Data & Privacy
You may upload or input your clients' names, phone numbers, and due amounts. This data is used solely to send reminders and invoices.
We use bank-grade encryption and secure cloud storage. We will never sell or share your or your clients' data.
We comply with Indian data-protection laws and RBI/NPCI requirements for UPI-linked information.
6. Subscription, Billing & Referral Rewards
Plans are billed quarterly or annually (Starter, Pro). All subscription fees are non-refundable except as specified in our Refund Policy.
We reserve the right to change pricing with 30 days' notice. Accounts are non-transferable and cannot be shared.
Referral program: each paid referral you bring earns you bonus free-usage months, applied to your next billing period.
7. Refund Policy (Annual Plans Only)
Refunds are available only on annual subscriptions, within 30 days of purchase.
Approved refunds are processed within 7 working days.
8. Fair Usage & Message Limits
Our service is intended for legitimate business use. We may suspend accounts engaging in spam, abuse, or excessive usage that degrades service quality.
Depending on your subscription tier, certain monthly messaging limits may apply. You'll be notified if you approach that limit.
9. No KYC Obligations for Messaging
NudgePay does not collect or verify KYC documents from you unless legally required by authorities or banks.
Since we do not process or hold client funds, additional RBI or NPCI licensing is not required for our reminder and invoicing services.
10. Service Levels, Disclaimer & Limitation of Liability
NudgePay is a facilitation tool. We do not guarantee client payments or any particular outcome.
NudgePay is provided "as is" without warranties. We are not liable for indirect, incidental, or consequential damages arising from your use of the Platform.
11. Termination
Either you or NudgePay may terminate service at any time. Upon termination, your access to the Platform will be discontinued, but these Terms remain in effect.
12. Security & Platform Integrity
You agree not to use the Platform for unlawful or fraudulent activity or to impersonate anyone.
Breach of this clause may lead to suspension or termination of your NudgePay account.
13. Amendments
We may update or modify these Terms at any time. Significant changes will be communicated via email or WhatsApp.
